Version 2026.5
General Terms and Conditions for Hosts (Platform Agreement)
Amarante Villas B.V.
Version: 2026.5 | Effective from: November 2026
Article 1. Definitions
In these terms and conditions, the following terms shall have the following meanings:
- Amarante Villas: The operator of the online rental platform, established in the Netherlands and registered with the Chamber of Commerce.
- Platform: The website(s), digital applications, and systems of Amarante Villas through which accommodations are displayed, promoted, and booked.
- Host: The natural or legal person (owner, property manager, or authorized representative) who selects a Package to offer one or more accommodations via the Platform.
- Guest (Tenant): The natural or legal person who enters into a booking or reservation with the Host via the Platform.
- Package: The service formula chosen by the Host for the presentation and mediation of the accommodation, based on a commission model per realized booking.
- Rental Agreement: The definitive accommodation agreement concluded directly between the Host and the Guest.
- Booking Confirmation: The digital message definitively establishing the agreed stay dates, payment specifications, and accommodation details.
Article 2. Role of Amarante Villas (Intermediary Role & Transparency)
- Amarante Villas operates a digital platform and acts solely as an online intermediary and agent in the name and for the account of the Host.
- The Rental Agreement is concluded exclusively and directly between the Host and the Guest. Amarante Villas is expressly not a party to this Rental Agreement.
- Amarante Villas has no ownership, possession, supervision, or operational responsibility regarding the offered accommodations.
- In accordance with the European Platform-to-Business (P2B) Regulation, the main parameters determining the ranking of accommodations on the Platform (such as current availability, reviews, calendar management, and conversion) are applied transparently and objectively.
Article 3. Packages, Commission, Invoicing, and Term
- To offer an accommodation via the Platform, the Host activates a Package. Rentals take place exclusively on the basis of a commission model; fixed advertising rates or advance payments for advertising space are not possible.
- The agreed commission percentage of the selected Package is clearly displayed prior to activation and confirmed by email.
- Amarante Villas' commission is calculated only on the rental price of the accommodation (after any discount), never on extras or tourist tax, and is automatically deducted from the payout to the Host upon each completed booking (net payout).
- When selecting and activating the Package, the Host agrees to these General Terms and Conditions by means of an active confirmation (opt-in checkbox).
- An activated Package has no fixed expiration date: the Package and the listing remain continuously active for as long as the listing is online. The agreement and listing can only be terminated in accordance with the procedure in Article 10.
- All stated commission rates are in euros (€) and exclusive of VAT, unless explicitly stated otherwise.
- Invoicing of the commission to the Host: Amarante Villas periodically provides a digital commission invoice (or credit note/settlement specification) to the Host for their accounting purposes covering the deducted commission, including the applicable VAT.
Article 4. Obligations and Warranties of the Host
The Host declares and warrants that:
- He/she is the rightful owner of the accommodation, or holds full written authority to rent out the accommodation on behalf of the owner;
- All listing information provided (including visual material, descriptions, amenities, calendar availability, prices, and house rules) is accurate, up to date, and non-misleading;
- The accommodation complies with all applicable laws and regulations, including local ordinances, building and housing supervision, maximum rental periods, and fire and safety standards;
- If the municipality or region applies a registration requirement, permit requirement, or notification requirement (such as under the Dutch Tourist Rental of Living Space Act [Wet toeristische verhuur van woonruimte]), the Host correctly enters the valid registration number into the account and displays it in the listing.
Article 5. Intellectual Property and Visual Material
- Grant of License: The Host grants Amarante Villas a worldwide, royalty-free, non-exclusive, transferable, and irrevocable license to use, reproduce, and make public all photos, videos, texts, and other promotional materials uploaded by the Host via the Platform and via external marketing channels (including, but not limited to, Google Ads, social media, advertising networks, and digital newsletters) for the promotion of the accommodation and the Platform.
- Copyright Warranty and Indemnification: The Host expressly warrants that he/she holds all necessary copyrights, licenses, or written permissions regarding the visual and textual material provided (including from external photographers or stylists). The Host fully indemnifies Amarante Villas against all third-party claims (including claims for damages or legal costs from photographers or rights holders) on the grounds of alleged infringement of intellectual property rights.
Article 6. Prohibition of Platform Circumvention (Disintermediation)
- The Platform brings Hosts and Guests together and provides its services based on the agreed commission model. The Host is strictly prohibited from circumventing the booking or payment system of the Platform.
- The Host is not permitted to include direct contact details (such as telephone numbers, email addresses, hyperlinks, physical addresses, or references to their own website) in public listing texts, photos, attachments, or via the internal messaging system prior to a definitive booking, with the purpose or effect of concluding the booking outside the Platform.
- Upon finding intentional circumvention or an attempt thereof, Amarante Villas reserves the right to deactivate the listing with immediate effect and to charge the foregone commission in full, without prejudice to the right to compensation for any other damages.
Article 7. Tourist Tax and Local Levies
- Full Sole Responsibility: The Host is at all times independently and exclusively responsible for the assessment, withholding, declaration, and timely remittance of all applicable local taxes and levies, expressly including tourist tax, commuter tax, and local environmental levies.
- No Automatic Withholding or Remittance: Unless Amarante Villas has concluded a specific written covenant with a relevant municipality and explicitly discloses this to the Host, Amarante Villas does not collect or remit tourist tax on behalf of the Host.
- Software Support: If the Platform offers the option to configure a tourist tax rate and include it in the booking amount, this functions merely as an administrative calculation tool. The amounts received are remitted in full to the Host, who is solely responsible for handling the required periodic payment to the local government.
- Indemnification: The Host fully indemnifies Amarante Villas against all claims, additional tax assessments, interest, penalties, or legal proceedings from municipalities, tax authorities, or regulators in connection with the failure to remit, late remittance, or incorrect remittance of (tourist) taxes.
Article 8. Payment Processing and Invoicing Towards Guests
- Payments between Guest, Amarante Villas, and Host are processed via an authorized external Payment Service Provider (PSP) such as Stripe, Mollie, or Online Payment Platform. The Host accepts the terms and identity checks (KYC / Know Your Customer) of the PSP.
- Payout to the Host: for each booking the Host receives the rental price minus the agreed commission of the selected Package, plus the extras and tourist tax due to the Host, minus the transaction fees of the Payment Service Provider (such as Stripe) on the Guest's payments. The Guest does not pay separate payment fees. The commission, transaction fees and payout amount are shown per booking in the Payouts overview of the owner portal. Payout is made by default 2 days after the Guest's arrival date, provided the booking has been paid in full. Amarante Villas is authorized to suspend payouts in the event of well-founded suspicions of fraud or serious breach of contract.
- Invoicing Towards Guests (B2C): Amarante Villas exclusively provides private Guests with a digital booking and payment confirmation. Amarante Villas does not issue VAT invoices to Guests for the rental of the accommodation, as the Rental Agreement exists directly between the Guest and the Host.
- Business Guests (B2B): If a Guest requests an official business invoice for the stay, the Guest must contact the Host directly. The Host is required and entitled to issue an invoice for the accommodation costs at the request of the business Guest, provided the Host acts as a VAT-registered entrepreneur. If the Host is not subject to VAT (for example, as a private individual or under the small business scheme [kleineondernemersregeling]), no VAT invoice can be provided, and the booking and payment confirmation serves as sufficient proof of payment.
Article 9. Provision of Information and DAC7 Reporting Obligation
- Pursuant to European legislation (Directive EU 2021/514, DAC7), Amarante Villas is legally required to collect identity data, banking details, transaction overviews, and rental income of Hosts and report them annually to the Tax Administration.
- The Host is required to provide all required data (including BSN/RSIN, VAT number if applicable, bank account number, date of birth, and address/cadastral data) via the Platform in a timely and truthful manner.
- If the Host fails to provide this data after repeated requests, Amarante Villas is legally required and authorized to deactivate listings and/or temporarily suspend payouts until the obligation has been fulfilled.
Article 10. Bookings, Cancellations, and Disputes
- The Host selects one of the cancellation policies supported by the Platform. The policy in effect at the time of booking by the Guest is binding on that booking at all times.
- Complaints regarding the stay, any damage to the accommodation, or disputes regarding security deposits must be resolved directly between the Host and the Guest.
- Amarante Villas may, upon request, facilitate an amicable settlement, but bears no financial or legal liability whatsoever for damages, deposit refunds, or compensation.
Article 11. Review Policy (Reviews & Ratings)
- To ensure reliability and transparency, only Guests who have actually booked via the Platform and completed their stay may leave a review and rating for the accommodation and the Host.
- Amarante Villas does not perform prior screening of reviews, but reserves the right to reject or remove a review at its sole discretion if it:
- Contains personal data or confidential information of third parties;
- Contains abusive, discriminatory, defamatory, or libelous language;
- Is demonstrably factually incorrect or is used as a means of pressure/blackmail (for example, to enforce unjustified refunds or compensation);
- Does not relate to the actual stay or the rented accommodation.
- The Host has the right at all times to post a professional and respectful public response to a published review via the Platform.
Article 12. Scope of Services and Customer Service (No Emergency Service)
- Customer service support from Amarante Villas is strictly limited to administrative and technical assistance regarding the account, listing placement, and the operation of the Platform during regular office hours.
- No Emergency or Breakdown Service: Amarante Villas explicitly does not provide a 24/7 breakdown or emergency service for physical or operational incidents on site. The Host (or their designated local property manager) is at all times independently responsible for the operational reception of Guests, key handovers, remedying technical malfunctions in and around the accommodation (such as defective amenities, air conditioning, power or water outages, and leaks), and handling emergency situations.
Article 13. Limitation of Liability
- Amarante Villas undertakes a best-efforts obligation to keep the Platform operational, secure, and up to date, but does not guarantee uninterrupted operation.
- Amarante Villas is in no event liable for damage, destruction, theft, or injury caused by Guests, errors in prices or calendars entered by the Host (including double bookings due to malfunctioning iCal links), indirect damages, loss of profits, or governmental fines imposed on the Host.
- The total liability of Amarante Villas towards the Host is at all times limited to the amount that Amarante Villas received in commission from the Host concerned in the three (3) months preceding the event, with a maximum of €1,000.
Article 14. Term, Deactivation, and Termination of Collaboration
- Term: The agreement and the selected Package commence at the moment of acceptance and continue for an indefinite period for as long as the listing remains online.
- Termination by the Host: If the Host wishes to take a listing offline or terminate the collaboration, this must be requested exclusively in writing via customer service by email to: owners@amarantevillas.com.
- Regular Termination by Amarante Villas: Amarante Villas is entitled at all times to terminate the collaboration or the publication of an accommodation in writing (by email) subject to a notice period of thirty (30) days, in accordance with applicable European legislation (P2B Regulation).
- Immediate Termination and Deactivation by Amarante Villas: Amarante Villas reserves the right to terminate the agreement with immediate effect and/or deactivate a listing immediately, without prior notice of default and without being held to any compensation or refund, if:
- The Host attributably fails to comply with these terms or applicable laws and regulations;
- There are serious or repeated substantiated complaints from Guests regarding safety, hygiene, nuisance, or structural non-performance;
- The Host attempts to circumvent the booking or payment system of the Platform as referred to in Article 6;
- The Host refuses or fails to comply with statutory information duties (including the absence or inaccuracy of the mandatory municipal registration number or the systematic failure to provide DAC7 data in accordance with Article 9);
- There is a well-founded suspicion of fraud, deception, bankruptcy, or acting in a manner contrary to the good reputation of Amarante Villas.
- Settlement of Existing Bookings: Termination of the agreement (regardless of whether initiated by the Host or Amarante Villas) never releases the Host from the obligation to properly fulfill and handle already confirmed future bookings in accordance with the agreed terms.
Article 15. Amendments and Applicable Law
- Amarante Villas reserves the right to amend these terms and conditions. Amendments will be announced at least 14 days prior to entry into force by email or via the dashboard (in accordance with P2B notice periods). Continued use constitutes acceptance.
- This agreement and all disputes arising from it shall be governed exclusively by Dutch law.
- All disputes shall be submitted exclusively to the competent Dutch court in the district where Amarante Villas has its registered office.
